GenStudio Terms of Service

⚠ This document is a draft template and has not been reviewed by legal counsel. Before it takes effect, it must be reviewed and approved by legal counsel engaged by [主体名称]; the publication date and effective date will be filled in when the text is finalized. "[主体名称]" is a placeholder for the operating entity's registered name.

Publication date: [TBD]

Effective date: [TBD]

Welcome to the services (the "Services") provided to you by [主体名称] ("we", "us" or "our") through GenStudio (gen.yaspost.com, the "Platform").

These GenStudio Terms of Service (these "Terms") apply to all of your access to and use of the Platform, including free features, subscription services and credits-related features. These Terms, together with the Privacy Policy and the Refund Policy (linked in the page footer), constitute the entire agreement between you and us regarding the Services; where the three documents are inconsistent on the same matter, the specialized document prevails — matters concerning the handling of personal information are governed by the Privacy Policy, and matters concerning refunds are governed by the Refund Policy.

Please read all provisions carefully and make sure you fully understand them, in particular the provisions that exclude or limit liability, the provisions on AI-generated content (Article 5), the provisions on tiered licensing (Article 6), and the non-refundable provisions in the Refund Policy. By clicking "Subscribe" on the page, by completing a payment, or by continuing to use the Services, you confirm that you have read and agree to these Terms.

We may revise these Terms in light of changes in laws and regulations and in our operations. Once a revised version is published, your continued use constitutes your acceptance of the revised version; if you do not agree with the revisions, you shall stop using the Services.

Users who are under 18 years of age or who do not have full legal capacity should read these Terms and decide whether to accept them in the presence of their legal guardian; see also Article 10.

1. Scope and Definitions

1.1 These Terms apply to all of your activities on the Platform, including registering an account, visiting pages, submitting generation jobs, calling the open API, and purchasing and using any paid service.

1.2 Any other agreements, rules, notices and explanatory materials relating to the Platform that we have published or may publish (collectively, the "Platform Rules") form an integral part of these Terms and have the same effect as these Terms.

1.3 "GenStudio" / the "Platform": the AIGC generation platform (gen.yaspost.com) operated by [主体名称], which provides text-to-image, text-to-video, image-to-image and image-to-video generation services and related features. The models and capabilities actually available are as published in the product interface.

1.4 "credits": the unit of account provided by the Platform for consuming generation services. credits are not a network payment service, and are not tokens, vouchers, virtual currency or prepaid instruments; they carry no monetary value and no prepaid value. They cannot be withdrawn or exchanged for any currency, and cannot be transferred or gifted between different users or between different accounts of the same user.

1.5 "Subscription services": services under which, after you pay the subscription fee, you receive the periodic grant of credits for your tier and the corresponding benefits (commercial licensing, size exports and so on) during the subscription term. The price, the number of credits per period and the benefits of each tier are as actually published on the pricing page.

1.6 "Free allowance": credits obtained by non-subscribing users under the Platform Rules (including the registration grant and the daily allowance). Their nature is the same as described in Section 1.4, and they are subject to the tiered licensing in Article 6.

1.7 "User" / "you": a natural person, legal person or other organization that registers, logs in and uses the Platform.

2. Accounts and Registration

2.1 You must first register and log in to a Platform account in order to use the generation features and the paid services. Registration on the Platform is by invitation; the manner in which registration is opened and the credentials required are as actually published on the registration page.

2.2 You shall provide true, accurate and complete registration information, and update it promptly when it changes. You bear the consequences of information that is untrue or inaccurate, such as notices failing to reach you or an account that cannot be recovered.

2.3 Please keep your account, password, API Keys and other access credentials safe. You bear any losses arising from credential leakage or account theft that is not caused by our fault. If you discover signs of abnormal use of your account, you shall contact us immediately as provided in Article 12.

2.4 The account and the benefits within it may be used only by you (or by internal users authorized by you, if you are a legal person or other organization), and may not be assigned, leased, lent or sold in any form. If we find that the actual user is not the account holder, we may suspend or terminate the Services for that account.

2.5 You may stop using the Services at any time. The method and consequences of account deletion are described in Articles 6 and 7 of the Privacy Policy.

3. The Services

3.1 The Platform provides artificial intelligence generation services, currently including text-to-image, text-to-video, image-to-image and image-to-video. The models, resolutions, durations and other parameters supported by each form are as published in the product interface and may be adjusted as upstream model services change.

3.2 The generation jobs you submit are dispatched by the Platform to third-party upstream model services for processing: your prompts and uploaded materials will be sent to the relevant upstream provider for the purpose of completing that generation. This is an inherent operating characteristic of the Services; see Article 5 of the Privacy Policy for details.

3.3 The processing time of a generation job depends on upstream service capacity and queueing. Except where the interface expressly states otherwise, we make no commitment as to the completion time of any individual job.

3.4 For operational, content-moderation and security purposes, we may carry out necessary technical processing and human review of your input content and of the generated outputs.

3.5 We may from time to time add, adjust or retire certain models and features; such adjustments take effect on the date they are announced, and the benefits of the current period that you obtained before the adjustment took effect are not affected.

4. Paid Services and credits

4.1 Subscription and activation upon payment: after you select a tier on the pricing page and click "Subscribe", the system issues the invoice for the current period and directs you to a third-party payment channel to complete payment. The subscription is activated immediately upon successful payment, and the credits for the current period are granted at that time; before payment the subscription is in a pending-payment state and confers no benefits. If you do not agree with any provision of these Terms, please do not click Subscribe and do not make a payment; by completing payment you confirm that these Terms take effect between you and us.

4.2 Hold-and-settle model: credits are held at the model's real-time unit price when you submit a generation job, and are settled and deducted after the job is successfully delivered. The Platform charges per item (video jobs are priced by the selected duration), not per token; the unit price of each model and specification is published on the pricing page, and before you submit a job the system states a definite unit price for the model and specification you have selected.

4.3 Automatic return on failure: if a generation job fails, times out or loses its output for reasons attributable to the Platform or to an upstream provider, the credits held for that job are automatically returned to your account in full — you pay only for outputs that are successfully delivered. This provision differs from general industry practice; it is executed automatically by the accounting system and requires no application from you.

4.4 Periodic grants and no carry-over: subscription credits are granted per period (monthly), and credits not used within a period expire at the end of that period and do not carry over to the next period. The start, end and expiry moment of a period are as actually displayed on the Platform.

4.5 Renewal (invoice-based, no automatic charging): when a subscription reaches the end of its term, the system automatically issues the invoice for the next period; no amount will be automatically charged to any of your accounts. If you complete payment within the grace period (7 days), the subscription is restored, and credits already granted and subscription benefits are unaffected during the grace period; if payment is still not made when the grace period expires, the subscription is automatically cancelled and the account returns to the free tier.

4.6 Validity and deduction order: credits from different sources have different validity periods — credits granted by a subscription expire at the end of the period (see Section 4.4); credits granted on registration are valid for 90 days; the daily free allowance expires at the end of that day (UTC). The expiry time of each batch is as actually displayed on the Platform. Where several batches coexist, deduction follows the order of expiry (earliest expiry used first). credits are automatically void once expired and are not compensated; credits already held against an in-progress job are not affected by the expiry of their batch and are handled under their original batch when the job settles or credits are returned on failure.

4.7 Restrictions on use: credits may be used only to consume the Platform's generation services, and may not be converted back into currency, withdrawn, transferred, gifted, lent or sold. You shall not acquire or dispose of credits for profit-making or other purposes beyond your own use.

4.8 Charging and payment channels: we have the right to set the prices of our paid services; price adjustments take effect on the date they are announced, the benefits of the current period purchased before the adjustment are unaffected, and renewals are charged at the adjusted price. Please use the official payment channel designated by the Platform (currently Alipay cross-border acquiring, priced in US dollars); you bear the risks arising from paying through a channel that is not designated. The payment channel provider may charge fees, as governed by that provider's rules.

4.9 Querying your benefits: once logged in, you can query your credits balance and held amount, your subscription status and current period, your usage totals by model, and any outstanding invoices. The specific items available are as actually displayed on the Platform.

4.10 Refund rules: the refundability of subscription fees, the return of credits for failed jobs, and the handling of abnormal orders such as duplicate payments are all governed by the Refund Policy (/legal/refund). These Terms make no separate provision regarding refunds.

4.11 If changes in laws and regulations, government action, changed circumstances or similar factors prevent you from using a purchased service normally, we will notify you by appropriate means and use our best efforts to safeguard your interests.

5. AI-Generated Content: Labelling and Disclaimers

5.1 All outputs on the Platform are generated by artificial intelligence models, do not represent the views or positions of [主体名称], and do not constitute professional advice of any kind (including but not limited to medical, legal, financial or investment advice).

5.2 Image outputs on the free tier carry the Platform watermark. That watermark serves two functions at once: it is an explicit label indicating artificial-intelligence-generated content, and it is the technical expression of the tiered licensing in Article 6.

5.3 Owing to the limits of model capability, AI outputs may be inaccurate, incomplete, inappropriate or inconsistent with the facts, and may differ from one run to another given the same input. We make no warranty, express or implied, as to the accuracy, completeness, fitness for purpose or merchantability of the outputs. Before you use an output commercially or publish it externally, you shall review and verify its content yourself and bear the resulting responsibility.

5.4 You are responsible for the lawfulness of your input content (prompts, uploaded image materials and so on) and shall ensure that you hold lawful rights in it. You bear any dispute and liability arising from your input content infringing the rights of a third party.

5.5 Whether on the free tier or the paid tier, outputs may not be used for unlawful purposes, and may not be used to generate content that infringes the rights of others (including intellectual property rights, portrait rights, reputation rights and rights and interests in personal information) or that violates public order and good morals.

5.6 When you publish or disseminate outputs externally, you shall comply with applicable laws and regulations on the labelling of artificial-intelligence-generated content.

6. Tiered Licensing

6.1 Free tier (accounts that are not subscribed, whose subscription has not yet completed its first payment, or that have been cancelled): outputs are for evaluation only. You may view, download and test outputs generated on the free tier in order to evaluate the Platform's capabilities, but may not use them for any commercial purpose (including but not limited to product images, advertising, commercial publications and resale). Image outputs on the free tier carry the Platform watermark; the watermark is the technical expression of this Section, and removing or obscuring the watermark does not change the nature of the licence.

6.2 Paid tier (during the subscription term, including the grace period): outputs receive a commercial licence. Outputs you generate during the subscription term may be used for your own commercial purposes; that licence is fixed at the moment the output is generated and does not lapse when your subscription subsequently expires — the commercial licence for outputs already generated remains in effect.

6.3 The licensing tier is determined by the tier your account was on at the time the output was generated. A change in subscription status affects only outputs generated thereafter and does not retroactively change the licensing status of existing outputs.

6.4 Ownership and exercise of intellectual property rights in generated outputs are governed by applicable law. To the extent permitted by law, we do not claim ownership of your outputs, but we reserve the right to store and process outputs for operational, moderation and security purposes.

7. Rules of Conduct and Handling of Breaches

7.1 You shall not use the Services to engage in unlawful activities or activities that harm the rights and interests of others, including but not limited to: generating unlawful or infringing content; circumventing, cracking or bypassing the Platform's watermarks, size limits, quota limits or other technical measures; unauthorized automated scraping, stress testing or other conduct that interferes with the normal operation of the Services; and reselling, repackaging or otherwise providing the Platform's capabilities to third parties without our written consent.

7.2 If you violate laws and regulations or these Terms, we may, depending on the seriousness of the matter, issue a warning, restrict features, suspend or terminate the Services, or ban the account, and fees already paid will not be refunded.

7.3 If we suffer third-party claims, administrative penalties or other losses because of you, you shall indemnify us for all resulting losses and reasonable expenses (including investigation costs and attorneys' fees).

7.4 Where your conduct is suspected of being unlawful or criminal, we may preserve the relevant records and report them to the competent authorities.

7.5 The Platform advocates rational consumption; please select a tier and a level of usage that match your actual needs.

8. Changes to, Suspension and Termination of the Services

8.1 Suspension or termination of the services you use includes the following situations: (1) you cancel your subscription, fail to renew before the grace period expires, or delete your account; (2) we suspend or terminate the Services because of your breach; (3) regulatory requirements or force majeure; and (4) other situations in which suspension or termination is required by law.

8.2 After a subscription is cancelled: fees already paid for the current period will not be refunded; credits already granted for the current period remain usable under their original validity period until they expire; and the account's benefits return to the free tier, so that the tiered licensing in Article 6 then applies to outputs generated thereafter, while the licensing of outputs already generated is unaffected.

8.3 We may change or discontinue parts of the Services because of business adjustments. We will announce material changes affecting benefits you have already purchased in advance by appropriate means.

8.4 After the Services terminate, the provisions of these Terms on limitation of liability, indemnification, tiered licensing and governing law remain in effect.

9. Disclaimers

9.1 We are not liable for compensation in respect of service interruptions or data loss caused by force majeure, government action, network causes, defects in third-party services, hacking attacks or other circumstances that we cannot control or reasonably foresee, but we will use our best efforts to take measures to reduce the impact and to give timely notice.

9.2 If a service you have purchased is abnormally interrupted or unavailable because of our fault, we will restore it as soon as possible and, depending on the actual circumstances, provide you with compensation (such as extending the validity period or granting credits, as actually provided).

9.3 You bear losses caused by reasons attributable to you (an invalid account, problems with your payment account, leaked credentials, gross negligence and the like).

9.4 Where the payment process involves the services of a third-party payment channel, you shall also comply with that third party's agreements and rules; disputes arising from the third party's services are to be resolved between you and that third party.

9.5 To the maximum extent permitted by law, our total liability to you for compensation shall not exceed the total fees you actually paid to us for the Services in the twelve months before the dispute arose.

10. Use by Minors

10.1 Minors under 18 years of age shall read these Terms under the guidance of their guardian and may use the Services only with the guardian's consent; the Platform does not provide paid services to persons under 18 years of age.

10.2 Guardians shall keep payment devices and payment accounts safe, so as to prevent the person under their guardianship from making payments without their consent.

10.3 A guardian may notify us via the contact details in Article 12 to have the relevant account dealt with, and we will handle the matter according to the actual circumstances after verification.

11. Protection of Personal Information

11.1 How we collect, use, share and store your personal information, and the rights you have in respect of your personal information and how to exercise them, are described in the Privacy Policy (/legal/privacy).

11.2 The notice regarding cookies and terminal storage is likewise set out in a dedicated chapter of the Privacy Policy; the Platform does not use a separate pop-up banner.

12. Complaints and Contact

12.1 If you have any question, complaint, comment or suggestion regarding these Terms, the Services or generated content, you may send an email to: support@yaspost.com.

12.2 You are responsible for the truthfulness of the information and materials you provide in the course of a complaint and its handling.

12.3 We will process and reply within a reasonable period after receiving your message.

13. Governing Law and Miscellaneous

13.1 The conclusion, validity, interpretation and performance of these Terms, and the resolution of disputes under them, are governed by the law of the place of registration of [主体名称].

13.2 Disputes arising from or in connection with these Terms shall be resolved by the parties through friendly consultation; if consultation fails, either party may submit the dispute to a competent dispute-resolution body at the place of registration of [主体名称].

13.3 If any provision of these Terms is partly invalid or unenforceable, that does not affect the validity of the remaining provisions, and the parties shall replace it with a valid provision that comes closest to the original intent of that provision.

13.4 Our failure or delay in exercising any right under these Terms does not constitute a waiver of that right.

13.5 Headings are for convenience of reading only and do not affect the meaning or interpretation of the provisions.
